Advisory · Technology Due Diligence

Technology due diligence before money moves.

Independent technology due diligence for PE firms, boards and investors evaluating an acquisition, investment or roll-up. We assess the architecture, code, team and roadmap and tell you what the technology is worth, what it will cost to fix and what could break the deal.

Why this exists

The data room shows the technology at its best.

Architecture diagrams, a polished roadmap, a confident CTO. None of it tells you whether the platform will scale with the investment thesis, how much of it depends on two people or what the technical debt will cost after close.

Our technology due diligence is done by operators who have built and scaled platforms, so we know where to look. We read the code, test the architecture against the growth plan and talk to the engineers as well as management. Every finding is tied to value: a cost, a risk or a condition for the deal.

We are independent of the seller, of your portfolio vendors and of any post-close implementation. Our only deliverable is the assessment.

Architecture, code, team, security and roadmap each scored for scale, cost to fix and deal impact, so findings can be read by deal value at a glance.

Problems we solve

What the assessment answers. Before you sign.

01

Will it scale with the thesis?

Whether the architecture can support the growth, markets and products the investment case assumes, and what it costs if not.

02

What is the technical debt worth?

The debt quantified as post-close spend rather than described as a concern.

03

Who holds the knowledge?

Key-person risk across engineering and whether the team can deliver the roadmap.

04

Is it secure and compliant?

Security practice, data handling, open-source licensing and regulatory exposure in the markets that matter.

05

Is the product what it claims?

Whether proprietary technology is genuinely proprietary and how much depends on third-party platforms.

Common questions

What is technology due diligence?

An independent assessment of a target company's technology before an acquisition or investment: architecture, code, team, security and the cost of the roadmap.

How long does technology due diligence take?

Usually two to four weeks. We can run faster on a tight deal timeline and share red flags as soon as we find them.

Do you need access to the source code?

Ideally, yes. Sampling the repository is where most hidden debt shows up. Where access is limited, we work from documents, demos and engineer interviews and state what that leaves untested.

Do you do sell-side diligence?

Yes. A sell-side review finds and fixes issues before buyers do and gives the data room a credible technical story.

Is the work confidential?

Yes. We work under NDA and share findings only with the people you name.

What happens after close?

The report includes a post-close technology plan. Run it yourself, keep us on as adviser or move into a Build where the plan calls for one.
